1. Acceptance of Terms

By downloading, installing, or using SoraXpertAI ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not download, install, or use the Software.

2. License Grant

2.1 Free License

We grant you a free, non-exclusive, worldwide, royalty-free license to:

• Download and install SoraXpertAI on your personal computers
• Use the Software for both personal and commercial purposes
• Create unlimited content using the Software
• Distribute content created with the Software

2.2 License Restrictions

You may NOT:

• Reverse engineer, decompile, or disassemble the Software
• Modify or create derivative works of the Software
• Redistribute the Software (except as part of your created content)
• Use the Software for illegal, harmful, or abusive purposes
• Remove or alter any copyright, trademark, or proprietary notices

3. User Content & Ownership

3.1 Your Content

You retain all rights to content you create using SoraXpertAI ("User Content"). This includes:

• AI-generated images, videos, and audio
• Text prompts and inputs
• Output files and creations

3.2 Content Guidelines

You are solely responsible for your User Content. You agree not to create content that:

• Violates any laws or regulations
• Infringes intellectual property rights
• Contains illegal, harmful, or abusive material
• Spreads misinformation or harmful content

4. Software Features & Limitations

4.1 Local Processing

SoraXpertAI is designed to work completely offline:

• All AI processing occurs on your local hardware
• No data is transmitted to our servers
• Internet connection is not required for core features
• Performance depends on your computer specifications

4.2 System Requirements

The Software requires:

• Windows 10 or 11 (64-bit)
• NVIDIA GPU with sufficient VRAM (recommended)
• 16GB RAM minimum, 32GB recommended
• 50GB free disk space

We are not responsible for performance issues due to insufficient hardware.

5. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

To the maximum extent permitted by law, we disclaim all warranties, including:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the Software will be error-free or uninterrupted
• Warranties regarding the accuracy or reliability of AI-generated content
• Warranties that the Software will meet your requirements

6. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for:

• Any indirect, incidental, or consequential damages
• Loss of data, profits, or business opportunities
• Damages resulting from use or inability to use the Software
• Content created by users of the Software

Our total liability shall not exceed the amount you paid for the Software (which is $0).

7. Indemnification

You agree to indemnify and hold harmless SoraXpertAI, its developers, and affiliates from any claims, damages, or expenses arising from:

• Your use of the Software
• Your violation of these Terms
• Content you create using the Software
• Your violation of any laws or third-party rights

8. Software Updates

8.1 Updates

We may release updates to the Software that:

• Add new features or improve existing ones
• Fix bugs or security issues
• Update included AI models
• Improve performance or compatibility

8.2 Modifications to Terms

We may update these Terms periodically. Continued use of the Software after changes constitutes acceptance of the new Terms.

9. Termination

Your license to use the Software continues until terminated. You may terminate the license by uninstalling the Software. We may terminate your license if you violate these Terms.

Upon termination, you must cease using the Software and delete all copies from your devices.

10. Governing Law

These Terms shall be governed by the laws of the United States, without regard to conflict of law principles. Any disputes shall be resolved in the appropriate courts.

11. Miscellaneous

11.1 Entire Agreement

These Terms constitute the entire agreement between you and SoraXpertAI regarding the Software.

11.2 Severability

If any provision of these Terms is found invalid, the remaining provisions remain in effect.

11.3 No Waiver

Our failure to enforce any provision does not waive our right to enforce it later.
